1. Acceptance of Terms

By accessing or using ConvoSparr ("the Service"), you agree to be bound by these Terms of Service ("Terms"). ConvoSparr is a product operated by Tarsonix Technologies ("we," "our," or "us"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

ConvoSparr is an AI-powered sales conversation practice platform that enables users to rehearse sales calls, pitches, and other professional conversations through realistic voice-based AI simulations. Our Service provides:

  • AI-powered sales roleplay scenarios across multiple call types
  • Real-time voice conversation practice with AI personas
  • Post-session performance analysis, scoring, and AI coaching feedback
  • Progress tracking, practice streaks, and achievement system
  • Multiple AI personas with varying difficulty levels and behaviors
  • Session history and detailed transcript review

The Service is intended for professional development and training purposes only.ConvoSparr does not endorse any specific sales methodology, and AI feedback is designed to be educational rather than a guarantee of real-world outcomes.

3. User Accounts

To access the Service, you must create an account. You agree to:

  • Be at least 18 years of age to register and use the Service
  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access to your account

We reserve the right to suspend accounts that provide false information or violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems or other accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Upload malicious code, viruses, or harmful content
  • Harass, abuse, or attempt to harm others through the Service
  • Use the Service to collect training data for competing AI systems or products
  • Resell, sublicense, or redistribute the Service without authorization
  • Use automated tools to scrape, crawl, or extract data from the Service
  • Introduce sensitive personal information (financial credentials, government IDs, passwords) into practice sessions — treat sessions as professional training contexts only

5. Intellectual Property

The Service, including all content, AI models, personas, scenarios, features, and functionality, is owned by Tarsonix Technologies and protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works without our prior written permission.

You retain ownership of any original content you create and input during practice sessions (e.g., your pitch briefing). However, you grant Tarsonix Technologies a non-exclusive, worldwide, royalty-free license to use anonymized session data — meaning transcript content and performance metrics with all personally identifying information removed — to improve our AI models and the quality of the Service.

6. Voice and Conversation Data

By using our voice practice features, you acknowledge and consent to the following:

  • No audio storage: Your voice audio is streamed in real time for transcription and is not recorded or stored after the session ends.
  • Transcripts are stored: Text transcripts of your conversations (with speaker labels and timestamps) are stored in our database for the purpose of displaying session history and generating performance feedback.
  • Your transcripts and session context are processed by third-party AI providers (Deepgram for transcription, OpenRouter/Llama 4 for live conversation, Kimi K2.5 / Google AI for analysis) to produce performance scores and coaching feedback.
  • Do not speak sensitive personal information (financial data, passwords, government identification numbers) during practice sessions.
  • You can permanently delete all your session data and transcripts by deleting your account from Settings.

7. Credits, Plans, and Payments

Practice Credits

Access to voice practice sessions is governed by a credit system. Credits represent seconds of practice time:

  • Credits are deducted only for sessions that are completed
  • If you exhaust your available credits, active sessions will be automatically ended and you will be unable to start new sessions until credits are replenished

Free Plan

  • 600 practice seconds (lifetime allocation, one-time, non-expiring)
  • No credit card required
  • Free credits do not refresh

Pro Plan

  • $79 USD/month (introductory rate; standard price $249/month)
  • 30,000 practice seconds per month
  • Monthly credit allocation resets at the start of each billing cycle
  • Unused credits at the end of a billing period do not roll over

Billing via Paddle

All payments are processed by Paddle.com Market Limited ("Paddle"), acting as Merchant of Record. When you subscribe to the Pro plan:

  • Your payment information is collected and stored by Paddle — we do not receive or store your payment card details
  • Paddle's Terms of Service and Privacy Policy govern billing transactions
  • You will receive receipts and invoices from Paddle

Cancellation

  • You may cancel your Pro subscription at any time through your account settings or by contacting hello@convosparr.com
  • After cancellation, your Pro access and remaining credits for the current billing period continue until the period ends — no access is revoked early
  • No partial refunds are issued for unused credits in a billing period

Refund Policy

All subscription fees are strictly non-refundable. Once a subscription payment is processed and your Pro plan is activated, no refund will be issued for that billing period — regardless of whether you use the Service. Partial refunds for unused credits within a billing period are not available.

The sole exception is where a refund is legally mandated by applicable consumer protection law in your jurisdiction (for example, the EU statutory cooling-off period for digital services, where such rights have not been waived upon immediate access to the Service).

Price Changes

We may update subscription pricing at any time. For existing subscribers, we will provide at least 30 days' advance notice before any price change takes effect.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that:

  • The Service will be uninterrupted, error-free, or available at all times
  • AI-generated feedback or scores will be accurate, complete, or reliable
  • Use of the Service will result in improved sales performance or any other specific real-world outcome
  • The Service will meet your specific requirements or expectations

9. Limitation of Liability

To the maximum extent permitted by applicable law, Tarsonix Technologies and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Tarsonix Technologies and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or for any other legitimate business reason. Upon termination, your right to use the Service ceases immediately.

You may terminate your account at any time by using the account deletion feature in Settings → Account. Upon account deletion, all your personal data, session records, transcripts, and analytics will be permanently and irreversibly deleted from our systems. Any active paid subscription will be cancelled, and no refund will be issued for the remaining billing period.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our website and, where required, by sending an email to your registered address. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India, where Tarsonix Technologies is incorporated, without regard to its conflict of law provisions.

EU / EEA users: Nothing in these Terms limits or excludes any rights you have under the General Data Protection Regulation (GDPR) or applicable EU consumer protection laws. Mandatory consumer protections in your country of residence continue to apply.

California users: Nothing in these Terms limits your rights under the California Consumer Privacy Act (CCPA) or other applicable California consumer protection laws.
